QuietPath is an acoustic consulting service from Resonate Consultants Pty Ltd, ABN 86 152 097 955 ("Resonate", "we", "us"), delivered online. These terms cover your QuietPath account, the free check and any report you order. They follow the Conditions of Engagement we use for all our consulting work. By creating an account or using QuietPath you agree to them. If you're using QuietPath for a business, you confirm you're authorised to accept them on its behalf.

1. Your account

You sign in to QuietPath with your email address and a password. Give us accurate details, keep your password to yourself, and let us know if you think someone else has used your account. You're responsible for what happens under your account. Each account is for one person. We may suspend or close an account that breaks these terms.

2. The free check

The free check gives an indication of the aircraft noise at a site and the planning controls that may apply. It's a starting point, not advice, and it isn't a report.

It relies on noise contours and planning data published by airports, councils and government agencies. That data can change or be replaced, and the version we show may not be the latest in force. Noise levels are shown as indicative ranges. Before you buy a site, settle a design or lodge a DA, check the requirements with your council or certifier, or order a report.

3. Reports

When you request a report, we'll send you a quote setting out the scope, fee and expected timing. The quote is valid for 60 days. Once you accept it, the quote and these terms are our agreement for that report.

  • We'll prepare the report with the skill, care and diligence normally expected of a competent professional.
  • You'll give us the drawings and information we ask for as soon as you can. We'll use them only for your report unless you agree otherwise.
  • If the design changes or you want something outside the quoted scope, we'll agree the change and any extra fee with you before we do the work.
  • The report is prepared for the project and purpose named in it. Whether your application is approved is a decision for the council or certifier.

4. Fees and payment

Fees are as set out in your quote, plus GST. Invoices are due within 14 days. We may charge interest on overdue amounts, from the due date until payment, at our bank overdraft rate.

5. Ownership

Your drawings and other material you upload stay yours. You confirm you have the right to share them with us.

The report we prepare for you is jointly owned by you and Resonate, and each of us may copy and use it without charge. That includes giving copies to your council, certifier, builder and designers. The QuietPath software, website, report format and methods were ours before your project and stay ours.

6. Using QuietPath properly

Don't use QuietPath for anything unlawful, upload anything harmful, try to get around its security or interfere with how it runs, or share your account. Don't copy, scrape or reverse engineer QuietPath, access it by automated means, or use it or its results to build a competing product or service.

7. Liability

Nothing in these terms excludes or limits rights you have under the Australian Consumer Law that can't be excluded or limited.

Subject to that, if we breach our agreement for a report, we're liable for reasonably foreseeable losses caused directly by the breach. We aren't liable for indirect, consequential or special loss, or loss of profit, however it arises. Our total liability for a report is limited to five times its fee, excluding GST and disbursements. If you or someone else contributed to the loss, our liability is reduced in proportion to our share of the responsibility.

The free check is provided without charge. To the extent the law allows, we don't guarantee it's complete or current, and we aren't liable for loss arising from reliance on it.

We hold professional indemnity insurance while we provide our services, and we'll use reasonable endeavours to keep similar cover for seven years after.

8. Suspending work or closing your account

You can ask us to pause or stop work on a report at any time. We'll stop as soon as we can and keep further costs to a minimum. You can close your account by emailing info@quietpath.com.au. We can close it if you break these terms.

9. Disputes

If we disagree about anything under these terms, we'll both try in good faith to settle it through mediation first.

10. Third-party data

QuietPath uses data from these sources. We aren't responsible for errors in third-party data.

11. Changes

We work to keep QuietPath available but can't promise it will always be uninterrupted or error-free. We may change its features and update these terms. If we make a significant change, we'll tell you by email or in the app. Changes don't affect a report you've already ordered.

12. Governing law

These terms are governed by the laws of South Australia, and you and we submit to the courts of South Australia.
